Stamp Duty Payable For LLP Agreement

Every Limited Liability Partnership shall have an LLP agreement in which all the rules and regulations shall be mentioned. After getting the certificate of registration from the Registrar the Limited Liability Partnership shall have to submit the initial LLP agreement in Form-3 with the requisite fees. Every LLP agreement shall be drafted on the non- judicial stamp paper because the stamp duty is paid to the state government, not to the MCA. The initial LLP agreement shall be drafted and filed to the registrar within 30 days of LLP registration and if any Limited Liability Partnership fails to furnish the initial LLP agreement within stipulated time period then there will be a penalty of Rs. 100/- per day without any fixed cap. Therefore it is very important to file the initial agreement as quick as possible to avoid the penalty.

The initial LLP agreement should be in accordance with the information as mentioned in the FiLLiP form and submitted to the registrar at the time of its registration. But after the approval of initial agreement if any partner or designated partner mutually agree to alter the LLP agreement or any clause they can alter such agreement or clause and the same shall be furnished to the Registrar in the form of Supplementary LLP agreement and the same shall be drafted on the non-judicial stamp paper having the value of Rs. 100/-

For the state of Telangana:

  • If the value of the LLP agreement is up to Rs. 50000/- then the value of stamp paper will be Rs. 50/-.
  • If the value is exceeding Rs. 50000/- and up to Rs. 200000/- then the stamp paper value will be Rs. 100
  • If the value of the LLP agreement exceeds Rs. 200000/- then the value of stamp paper will be Rs. 200/-
