A registered office address a very important part of the company and LLP registration. It the place where all communication shall be made with the company. The company will receive all the documents and notices at its registered office address apart from that the company has to conduct all the meetings at its registered office address. Every company shall have its registered office and it should be registered with the Registrar of the companies of their jurisdiction. At the time of company registration the promoters have to inform about the registered office of the company by submitting the relevant documents along with other documents of registration, a company cannot get registered without its registered office address. One company has only one registered office address which is registered with the MCA but a company can have more than one branch office, liaison office, factory, production house, etc. there is no restriction on this it means a company can have multiple branch offices all over India and there is no need to register it with MCA.
A company can change its registered office anytime during its life but at the time of shifting its office, an intimation to the registrar is mandatory. The registered office can be changed from one city to another or from one state to another all of these having different procedures and documentation.
Change Of Registered Office Within The Same City
This is the simplest and easiest procedure to shift the office from one place to another. If a company is shifting its registered office within the local limit of a city then only an intimation to the registrar is sufficient. An intimation shall be made within 30 days from passing the board resolution in form INC-22 along with the required documents.
Change Of Registered Office Within The Same ROC Jurisdiction
If a company wants to shift its registered office from the local limit of one city, town, village to another city, town, village but within the same state and same jurisdiction of registrar (ROC), then the company needs to take prior approval of the shareholders of the company in the general meeting. The process for the shift of the registered office is as follows:
- Conduct a board meeting of the directors of the company for shifting the registered office and for conducting the general meeting
- Send notice to all the shareholders of the company at least 21 clear days before the meeting
- Conduct general meeting and pass a special resolution for shifting the address
- File MGT-14 within 30 days from passing the special resolution along with the copy of a special resolution
- File INC-22 for shifting the office address within 30 days from passing the resolution. This form shall be submitted along with the required documents.
Change Of Registered Office From One State To Another
A state decides the jurisdiction of the ROC and the value of stamp duty at the time of registration. But if a company wants it can shift its registered office from one state to another and from the jurisdiction of existing ROC to another ROC. Every state has a different Registrar and different ROC jurisdiction and different value of stamp duty. There are few states which have the same ROC, for example, Delhi and Haryana, Punjab and Chandigarh, etc. these states have the same ROC in this case the state of the company can be changed but the ROC will remain same. The procedure for shifting the office is as follows:
- Conduct a board meeting of the directors of the company for shifting the registered office and for conducting the general meeting
- Send notice to all the shareholders of the company at least 21 clear days before the meeting
- Conduct general meeting and pass a special resolution for shifting the address
- File MGT-14 within 30 days from passing the special resolution along with the copy of a special resolution
- Publish a newspaper advertisement in INC-26 format in two newspaper one in English newspaper and one in a local newspaper for at least one month before applying for the Regional Director
- After one month from the date of publication of advertisement an application to Regional Director shall be made in form INC-23 along with all documents including copy of newspaper advertisement and simultaneously all these documents need to send physically to the Regional Director’s office
- After receiving the approval of Regional Director an application to the registrar shall be made in INC-28 within 60 days from the date of order of Regional Director
- An application for shifting the office shall be made in INC-22 within 30 days from the date of order of Regional Director
Change Of Registered Office With a Different ROC But Same State
Different state has the jurisdiction of different ROC but few states in India has two ROC in their state like the state of Maharashtra has two ROC, ROC Mumbai, and ROC Pune, and state of Tamil Nadu has ROC Chennai and ROC Coimbatore. If any company is shifting its registered office from one ROC to another the process will be as follows:
- Conduct a board meeting of the directors of the company for shifting the registered office and for conducting the general meeting
- Send notice to all the shareholders of the company at least 21 clear days* before the meeting
- Conduct general meeting and pass a special resolution for shifting the address
- File MGT-14 within 30 days from passing the special resolution along with the copy of a special resolution
- Publish a newspaper advertisement in INC-26 format in two newspaper one in English newspaper and one in a local newspaper for at least one month before applying for the Regional Director

What is the registered office address of the company?

Do any physical visit is required to change the registered office address?
Generally, there is no physical visit required for shifting the office address as the government except online forms but if the company is shifting its office from one state to another then the approval of Regional Director (RD) is necessary. The Regional Director grants his approval only after receiving all the physical documents related to shifting of the office and these documents can be sent either by post or by visiting physically to the office of RD. So although the physical visit is not required if RD approval is necessary then authorized persons may need to visit the government (RD) office.
How do I intimate the change of registered address to the ROC?
Whenever the company changes its registered office then the intimation to the ROC is necessary because if the new address is not updated in the register of ROC then it will be not considered as a registered office address. So the intimation is mandatory and it will be made only after filing relevant form to the ROC i.e. INC-22 shall be filed within 30 days from the date of the resolution passed or order passed by the RD.
Before shifting the registered office of the company is there any requirement to take Central Government approval?
No, there is no requirement to take Central Government approval before shifting the registered office of the company. The company needs to apply to Registrar of Companies and/or Regional Director in form INC-22, INC-23, INC-28 as applicable for shifting the registered office of the company. If the company is shifting its registered office from one state to another or one ROC to another then the Regional Director’s approval is mandatory otherwise only ROC approval is sufficient.
How to apply for RD approval to change Registered Office?
There are two cases where the Regional Director’s approval is required when the company is shifting its registered office from one state to another or from one ROC to another. An application for approval shall be made in form INC-23 along with all the documents but all the documents which are sent via form INC-23 shall need to be dispatched physically to the RD either by post or by going physically to the RD office.
Can the registered office be situated in a foreign country?
No, an Indian company cannot have its registered office outside India. The registered office of the company can be in any part of India but it cannot be outside India. An Indian company means a company which is registered under Indian companies act and having its registered office in India.
